IMPORTANT — READ CAREFULLY: This End User License Agreement ("Agreement")
is a legal agreement between you (either an individual or a single legal
entity, "You" or "Licensee") and ConsultantBPM / humansoftware (the
"Licensor") for the AI Code Exposure Monitor extension, including any
associated media, printed materials, electronic documentation, updates,
and successor versions (collectively, the "Software").

By installing, copying, downloading, accessing, or otherwise using the
Software, You agree to be bound by the terms of this Agreement. If You
do not agree, do not install, copy, or use the Software.

1. GRANT OF LICENSE.
   Licensor grants You a personal, non-exclusive, non-transferable,
   revocable license to install and use the Software solely in object-code
   form, on machines You own or control, for Your internal use, including
   commercial internal use within Your organization. The Software may be
   distributed to You only through the official Visual Studio Marketplace
   (or other channels expressly authorized by Licensor in writing).

2. RESERVATION OF RIGHTS; OWNERSHIP.
   The Software is licensed, not sold. All right, title, and interest in
   and to the Software, including all intellectual property rights, are
   and shall remain the exclusive property of Licensor and its licensors.
   No rights are granted by implication, estoppel, or otherwise other
   than those expressly set forth herein.

3. RESTRICTIONS.
   You shall NOT, and shall not permit any third party to:
   (a) copy, modify, adapt, translate, or create derivative works of the
       Software, in whole or in part;
   (b) reverse engineer, decompile, disassemble, or otherwise attempt to
       derive the source code of the Software, except to the extent such
       activity is expressly permitted by applicable law notwithstanding
       this restriction;
   (c) rent, lease, lend, sell, sublicense, assign, distribute, publish,
       transfer, or otherwise make the Software available to any third
       party;
   (d) remove, alter, or obscure any proprietary notice (including any
       copyright or trademark notice) of Licensor or its affiliates on or
       in the Software;
   (e) use the Software for the development, training, or improvement of
       any competing product or service;
   (f) circumvent or attempt to circumvent any technical limitation,
       license check, or feature gate built into the Software;
   (g) use the Software in any manner that violates applicable law or
       third-party rights.

4. UPDATES.
   Licensor may, at its sole discretion, provide updates, upgrades, bug
   fixes, or new versions of the Software. All such updates are governed
   by this Agreement, unless accompanied by a separate license, in which
   case the separate license shall control.

5. TELEMETRY AND DATA.
   The Software is designed to operate locally and does not transmit
   workspace contents, file lists, secrets, credentials, personal
   information, or telemetry to Licensor or any third party. If a future
   version introduces optional telemetry, You will be notified and given
   the ability to opt out.

6. THIRD-PARTY COMPONENTS.
   The Software may include open-source components distributed under
   their own license terms. Such components remain subject to their
   respective licenses; the restrictions of this Agreement do not
   override licenses of third-party components.

7. TERM AND TERMINATION.
   This Agreement is effective until terminated. It will terminate
   automatically without notice from Licensor if You fail to comply with
   any provision. Upon termination, You must cease all use of the
   Software and destroy all copies in Your possession or control.

8. NO WARRANTY.
   THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT
   WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
   TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
   PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. LICENSOR DOES NOT
   WARRANT THAT THE SOFTWARE WILL DETECT ALL SENSITIVE CONTENT, SECRETS,
   CREDENTIALS, OR PERSONAL INFORMATION, NOR THAT IT WILL PREVENT
   EXPOSURE TO AI ASSISTANTS OR THIRD PARTIES. YOU ARE SOLELY
   RESPONSIBLE FOR PROTECTING YOUR SOURCE CODE AND DATA.

9. LIMITATION OF LIABILITY.
   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL
   LICENSOR OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
   SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS,
   REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS
   AGREEMENT OR THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, STRICT
   LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
   DAMAGES. LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT
   SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU ACTUALLY PAID
   LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE
   CLAIM, OR (ii) FIFTY EUROS (€50).

10. GOVERNING LAW.
    This Agreement shall be governed by and construed in accordance
    with the laws of Romania, without regard to its conflict-of-laws
    rules. Any dispute arising out of or in connection with this
    Agreement shall be submitted to the exclusive jurisdiction of the
    courts of Romania.

11. ENTIRE AGREEMENT.
    This Agreement constitutes the entire agreement between You and
    Licensor regarding the Software and supersedes all prior or
    contemporaneous communications, proposals, or representations,
    whether oral or written, regarding the Software.

12. PRIOR VERSIONS.
    Versions of the Software prior to 0.5.0 were distributed under the
    MIT License. Such prior versions continue to be governed by the MIT
    License as it applied at the time of their release; the terms of
    this Agreement apply solely to version 0.5.0 and later.

13. CONTACT.
    For licensing inquiries (including commercial redistribution, MCP
    server, team-aggregation features, or enterprise licensing), contact
    the publisher via the Visual Studio Marketplace publisher page.

By using the Software, You acknowledge that You have read this
Agreement, understand it, and agree to be bound by its terms.
